1. Acceptance of Terms & Legal Entity

These Terms and Conditions ("Terms") form a legally binding agreement between you ("User," "Client," "Subscriber," or "you") and Pappa Bindha Pvt Ltd (CIN: U7310MP2025PTC078535), the parent operating company of the brand Shout OTB ("Company," "we," "us," or "our").

By registering an account, browsing our website, commissioning digital services, purchasing credit packs, or subscribing to our self-serve tools (such as the Instagram Analyzer or YouTube Analyzer), you accept and agree to comply fully with these Terms, our Privacy Policy, and our Refund & Cancellation Policy. If you do not agree to these Terms, you must immediately cease all access to our platform and services.

Access to analytical reports, live audits, and PDF dossiers is metered via a proprietary dual-balance credit wallet engine. By purchasing credits, you acknowledge and agree to the following operational parameters:

4. Payment Processing, Currencies & Merchant of Record

Shout OTB utilizes dual payment channels to facilitate secure, compliant checkouts globally:

• Domestic Indian Transactions (INR): Processed via Razorpay. Customers located within India are billed in Indian Rupees (₹) inclusive of applicable taxes, supporting UPI (Google Pay, PhonePe, Paytm), RuPay, Netbanking, and domestic credit/debit cards.
• International Transactions (USD): Processed via an authorized global Merchant of Record (MoR), such as Paddle or Razorpay International. The MoR is the legal entity responsible for processing international cards, handling localized currency exchanges, and calculating, collecting, and remitting relevant digital sales tax or EU VAT.

You agree to provide current, complete, and accurate billing information. For subscription plans, you authorize our processing partner to charge your payment method automatically on a recurring monthly or annual schedule until your subscription is canceled.

5. Cancellation & Refund Policy Summary

Because our software provisions live infrastructure and incurs real-time third-party compute fees, refund requests are strictly governed by our standalone Refund & Cancellation Policy:

• Zero Refund on Consumed Credits: Once a credit is consumed for an audit, refresh, comparison, or PDF export, that expenditure is non-refundable.
• Unconsumed Top-Up Packs: Refundable within seven (7) days of purchase only if zero credits from the purchased pack have been utilized.
• Subscription Cancellations: You may cancel future recurring renewals at any time via your user dashboard. Cancellations take effect at the conclusion of your active 30-day billing window.
• Technical Failure Protection: If a system error consumes credits without delivering your analysis or PDF file, our server logs will auto-restore the consumed amount to your wallet balance.

6. Third-Party APIs & Platform Non-Affiliation

Shout OTB's analytics tools interface with public endpoints and authorized OAuth frameworks provided by external services, including the Meta Graph API, Instagram Basic Display/Business Discovery APIs, and the YouTube Data API.

We comply strictly with third-party platform terms of service. We do not engage in private account hacking, unauthorized data harvesting, or private account decryption. If a third-party platform restricts its API availability, we reserve the right to modify or adjust metric availability without incurring liability.

7. Intellectual Property Rights

Our Proprietary Rights

The design, source code, software architecture, UI layout, animations, databases, algorithms, brand trademarks, and documentation of shoutotb.com remain the exclusive intellectual property of Pappa Bindha Pvt Ltd. You may not decompile, reverse-engineer, copy, scrape, or redistribute any part of our platform without prior written consent.

Client Materials & Generated Reports

Clients retain full ownership of raw media, branding assets, and commercial copy provided to us for custom services. For SaaS users, analytical dossiers and PDF reports generated via your paid credits belong to you for commercial and strategic use, subject to the factual limitations of third-party public data sources.

8. Account Security & User Conduct

By registering on Shout OTB, posting on our blogs, or utilizing our analytics tools, you warrant that you are at least 18 years of age and agree to:

• Safeguard your authentication credentials and notify us immediately of any unauthorized account access.
• Refrain from querying excessive automated scripts against our endpoints (DDoS, automated scraping outside documented rate limits).
• Not publish defamatory, threatening, unlawful, infringing, or malicious content within our community blogs or review sections.
• Not exploit test environments or credit endpoints. Attempting to bypass credit gating constitutes grounds for immediate account termination without refund.

We reserve the right to suspend or delete accounts that violate these security principles or compromise our operational stability.

You agree to indemnify, defend, and hold harmless Shout OTB, Pappa Bindha Pvt Ltd, its affiliates, directors, officers, and employees from and against any third-party claims, liabilities, damages, losses, or legal expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of our analytics software, or your infringement upon the intellectual property or privacy rights of any person.

14. Force Majeure & Severability

Neither party shall be liable for non-performance or delayed fulfillment caused by circumstances beyond reasonable control, including natural disasters, internet grid failures, strikes, government regulations, or unannounced breaking changes in third-party platform APIs (e.g., Meta or YouTube API deprecations).

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
